Terms of Service

NudgeLing, Inc. (“NudgeLing,” “we,” “us,” “our”) enables our customers (“you,” “your”) to build, nurture and maintain professional and long lasting workplace relationships with individuals including but not limited to employees, colleagues, customers, partners and/or donors (collectively, your “Contacts”).

Thank you for using the NudgeLing services, products and features that we make available to you as part of our services (each, a “Service”, and collectively, the “Services”).

These Terms of Service (“TOS”) govern your access to and use of our Services and our website at www.heyloops.com (the “Website”). By accessing or using the Services and/or the Website, you hereby consent to and agree to these TOS and conclude a legally binding contract with NudgeLing. These TOS govern all users of our Services and the Website, including but not limited to those who sign up for our Services directly through the Website and those who sign up through a third party website such as Google or LinkedIn.

Please read these TOS carefully and make sure that you understand them. You may not access or use our Services or the Website if you are unwilling or unable to be bound by any part of these TOS.

WHAT WE OFFER

  • Our Services offer you a way to easily collect, input and consolidate information about your Contacts in one place.
  • Through our Services, you can ask questions about your Contacts and instantly gather necessary data from recorded information.
  • We provide you with “nudges” about interesting or important events regarding your Contacts so that you can further connect and build relationships with them.

Your Acknowledgements and Responsibilities of Using Our Services

The information provided by your Contacts are made voluntarily and at the sole discretion and risk of the individual entering the information, or information provided directly by you of which we cannot verify its accuracy. Furthermore, there are always unforeseen challenges in the workplace that may arise from time to time. Much as we strive to increase morale and productivity, you understand and acknowledge that we cannot guarantee a happier, healthier workplace simply by use of our services.

You agree that the use of our Services and the Website is for professional use only and you may not use our Services in a way that (i) discriminates or harasses, or encourages discrimination or harassment against others based on personal and protected characteristics or attributes, including, but not limited to race, age, ethnicity, color, national origin, religion, sex, sexual orientation, gender identity and disability, (ii) constitutes, facilitates or promotes any illegal product, service or activity, (iii) infringes on the intellectual property rights of any third party, including but not limited to trademarks or copyrights of another, violates another’s rights of publicity or other privacy rights, or (v) violates any local, state or federal law or ordinance.

You further agree and acknowledge that the information gathered from us and sent to you is for your use only and may not be sold, transmitted, assigned or otherwise disseminated to any third party without our express written permission, which may be withheld for any reason and at our sole discretion.

Intellectual Property, Rights of Privacy and Data Collection

NudgeLing is committed to helping people and organizations protect their intellectual property and personal privacy rights. These TOS prohibit posting content or personal information of any third party through our Services or our Website that violates someone else’s intellectual property rights or rights of publicity, including but not limited to copyright, trademark and patent rights, invasion of privacy or misappropriation of a person’s name, likeness or image.

You should only upload content and provide NudgeLing with information that you have made or that you have permission to use. That means that you may not upload any content for advertisements or promotions used through our Services or the Website that you did not create or that someone else owns the copyright to or that infringes on another person’s privacy rights.

NudgeLing grants you a limited license that is temporary, non-exclusive, non-sublicensable and non- transferrable to access and use NudgeLing content solely for the use of the products or services from your subscription in accordance with our TOS. You may not reproduce, redistribute, transmit, assign, sell broadcast, share, lend, modify, edit, create derivative works of, license or otherwise transfer or use any NudgeLing content unless we give you express written permission to do so. We reserve the right to revoke this limited license to access and use our Services at any time and in our sole discretion.

Use of Passwords

Access to certain portions of our Website (for example, your account), may involve the use of a unique user name and/or password. You are solely responsible for maintaining the security of such user name(s) and password(s), and will promptly notify us if you believe such security has been compromised. You will not use the user name(s) or password(s) of any third party without such party’s express prior consent.

Limited Use Policy

NudgLing App’s use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.

Indemnity

You agree to indemnify, defend, and hold harmless NudgeLing, its members, officers, employees, agents, representatives, suppliers, and content and service providers from and against any and all losses, expenses, damages, and costs, including reasonable attorney’s fees, resulting from any violation of these TOS or any activity related to your use of our Services or the Website by you or any other person accessing our Services or the Website. This includes any claims brought against NudgeLing relating to information submitted by you or actions taken by you.

Information

Our Privacy Policy explains how we treat personal data and protect your privacy when you use our Services or the Website.

Applicable Law

Your use of our Services and the Website shall be governed by the laws of the State of Delaware without regard to its choice of law principles. You agree to submit to the personal jurisdiction of the state and federal courts located in San Diego County, California with respect to any legal proceedings arising out of these TOS or your use of our Services or the Website.

Changes to these Terms of Service

These TOS were posted on the date set forth above. We reserve the right, in our discretion and without notice, to modify these TOS at any time. You are advised to periodically review these TOS for any changes. Any such changes will take effect immediately upon its posting on the Website. Your use of our Services and/or the Website following any such change constitutes your agreement to follow and be bound by the TOS, as amended.

Changes to NudgeLing Services and the Website

We reserve the right to make additions, deletions or modifications to our Services and/or the Website, in our discretion and without notice at any time.
